1. Agreement and business use

These Terms of Service (the “Terms”) are an agreement between Hovadina Labs, LLC, doing business as PromiseDesk (“PromiseDesk,” “we,” “us,” or “our”), and the business or other organization that creates or uses a PromiseDesk account (“Merchant” or “you”). By creating an account, clicking an acceptance control, or using the service, you agree to these Terms.

PromiseDesk is offered for business use, not personal or household use. You represent that you are at least 18 years old and have authority to accept these Terms for the Merchant. If you do not have that authority, do not create or use an account.

2. What PromiseDesk does

PromiseDesk helps Merchants identify potentially eligible GlobalPost shipments, prepare supporting evidence, submit authorized claims, manage routine claim correspondence, record confirmed recoveries, and collect the agreed success fee. Eligibility and filing decisions depend on available shipment, tracking, carrier, and account information.

PromiseDesk is an independent service. It is not GlobalPost, ShipStation, USPS, Alchemer, or Stripe, and it does not control their services, policies, forms, availability, or decisions. Your use of those services remains subject to their own agreements and policies.

3. Accounts and authorized users

You must provide accurate account information, maintain access to a verified business email address, protect your credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity by anyone you authorize to use your account and for ensuring each user has appropriate authority.

You may connect only ShipStation and other third-party accounts that the Merchant owns or is authorized to use. You must remove access or contact PromiseDesk when a user’s authority ends.

4. Connected account and data authorization

You authorize PromiseDesk to connect to and monitor the Merchant’s ShipStation account; retrieve relevant shipment, label, order, postage, and tracking information; obtain or generate carrier evidence; and use that information to operate the service. You represent that you have the rights and permissions needed to provide this access and information.

PromiseDesk may use service providers to host the application, deliver account email, process payments, and operate authorized claim workflows. Our handling of personal information is described in the Privacy Notice.

PromiseDesk may also use shipment details and current ShipStation rates to identify shipments that appear suitable for GlobalPost. This analysis does not purchase postage or change a shipping service. If you separately confirm a tagging action, you authorize PromiseDesk to create the disclosed tag in ShipStation and apply it only to the shipments shown as current candidates.

5. Named claim filer and limited agency

Before claims can be filed, the Merchant must identify and confirm a named claim filer. The filer may be the ShipStation account owner or another person authorized to file claims for the connected account. The Merchant and named filer represent that the filer has that authority and authorize PromiseDesk to prepare and submit claims in the filer’s name as the Merchant’s limited agent.

The named filer accepts the certifications presented by GlobalPost when a claim is submitted and remains responsible for the accuracy and truthfulness of information submitted in their name. The Merchant must stop filing and contact PromiseDesk if the filer’s authority or information changes. PromiseDesk may require administrator review before replacing a filer after claim authorization is activated.

6. Claim instructions and correspondence

You authorize PromiseDesk to prepare and submit truthful GlobalPost claims supported by available records; use a PromiseDesk-controlled claim correspondence address; receive, send, and retain claim communications; respond to routine information requests; and route policy or evidence exceptions for administrative review.

You must promptly correct inaccurate source information and must not ask PromiseDesk to submit a false, misleading, duplicate, unauthorized, or unsupported claim. PromiseDesk may decline or stop any claim when its accuracy, authority, eligibility, or supporting evidence cannot be reasonably confirmed.

7. Chrome-assisted claim execution

Authorized claims may be prepared and submitted through the PromiseDesk Chrome extension using the Merchant’s browser and internet connection. Chrome must be installed and running while work is processed. If Chrome is closed, the computer sleeps, or connectivity is interrupted, queued work may resume the next time the browser and connection are available.

Claim processing may use a separate minimized browser window. To protect claim routing and filing integrity, PromiseDesk may prevent edits to an approved claim package, the named filer, or the claim correspondence address; block manual navigation or submission during automated processing; and record security or integrity events. You must not disable, evade, manipulate, or interfere with these controls.

8. Eligibility and outcomes

PromiseDesk does not guarantee that a shipment is eligible, that a claim will be accepted, or that any amount will be recovered. GlobalPost determines claim eligibility and outcome under its then-current policies. Third- party data can be delayed, incomplete, or inaccurate, and carrier forms or requirements can change without notice to PromiseDesk.

You remain responsible for maintaining your shipping accounts, complying with applicable carrier terms, and reviewing material account and recovery information made available to you.

9. Success fee

PromiseDesk charges a success fee equal to 50% of the postage amount GlobalPost confirms for recovery through a claim handled by PromiseDesk. If GlobalPost denies a claim or confirms no recovery, there is no success fee for that claim. Payment-processing and standard invoicing costs are included in the success fee; PromiseDesk does not add a separate card or ACH surcharge.

A confirmed recovery creates an accrued fee. You authorize PromiseDesk and its payment processor to charge the saved reusable payment method for accrued fees on the billing cadence or threshold disclosed during activation. Collection may occur earlier upon cancellation or when an applicable unbilled-exposure limit is reached, but a collection threshold never authorizes more than the accrued amount. Applicable taxes may be added where required.

10. Payment methods, invoices, and billing holds

Stripe processes payment details. PromiseDesk does not receive your full card or bank-account number. You must maintain an eligible payment method and authorize off-session charges for accrued fees. Certain volume levels may require an ACH backup. Prepaid payment cards are not accepted.

A failed, disputed, processing, or action-required payment may pause all new claim preparation and submission until payment is confirmed. Updating a payment method does not erase an accrued fee. Contact support@promisedesk.com promptly if you believe an invoice or recovery amount is incorrect.

11. Pausing, cancellation, and continuing obligations

Available account controls may let you pause future automated filing. To close the account or terminate the service, contact PromiseDesk support. Cancellation stops new claims after the cancellation is processed, but it does not abandon claims submitted before cancellation. PromiseDesk may continue administering those claims, receiving related correspondence, recording recoveries, and collecting accrued or later-earned fees.

PromiseDesk may suspend or terminate access for nonpayment, fraud or suspected fraud, false claims, unauthorized account use, interference with claim controls, legal or carrier risk, security threats, or other material breach of these Terms.

12. Acceptable use

You may not:

  • Submit or facilitate false, fraudulent, duplicate, misleading, or unauthorized claims.
  • Alter protected claim information or redirect claim correspondence away from PromiseDesk.
  • Interrupt, manipulate, reverse engineer, probe, or bypass service or extension safeguards.
  • Use PromiseDesk to violate law, carrier rules, third-party rights, or another account’s security.
  • Resell or provide the service to another business without written permission from PromiseDesk.

13. Privacy, records, and electronic communications

The Privacy Notice explains how PromiseDesk handles information. You consent to receive account, security, claim, billing, and legal notices electronically at the email address associated with the account. You must keep that address current. Electronic acceptance and records have the same effect as paper records and signatures to the extent permitted by law.

14. Ownership

PromiseDesk and its licensors retain all rights in the service, software, extension, designs, documentation, and related technology. We grant the Merchant a limited, revocable, nonexclusive, nontransferable right to use the service during the account term in accordance with these Terms. The Merchant retains its rights in information it provides and grants PromiseDesk the rights reasonably necessary to operate the authorized service.

15. Disclaimers

To the maximum extent permitted by law, PromiseDesk is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted operation, error-free third-party data, continued carrier eligibility, or any particular claim or recovery result.

PromiseDesk is an operational service, not a law firm, insurer, carrier, or accounting adviser. Information in the service is not legal, tax, insurance, or accounting advice.

16. Limitation of liability

To the maximum extent permitted by law, PromiseDesk and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, goodwill, or data; or losses caused by third-party services, carrier decisions, or the Merchant’s inaccurate information or unauthorized activity.

To the maximum extent permitted by law, the total liability of PromiseDesk arising out of or relating to the service or these Terms will not exceed the greater of $100 or the success fees paid by the Merchant to PromiseDesk during the 12 months before the event giving rise to the claim. These limitations do not apply where applicable law does not permit them.

17. Indemnification

The Merchant will defend, indemnify, and hold harmless PromiseDesk and its owners, employees, contractors, and service providers from third-party claims, losses, liabilities, penalties, and reasonable costs arising from the Merchant’s information, false or unauthorized claims, breach of these Terms, violation of law or third-party terms, or misuse of the service. This obligation does not apply to the extent caused by PromiseDesk’s own willful misconduct.

18. Partner Program

Referral earnings

Approved partners may receive a referral link for introducing new merchants to PromiseDesk. Unless separate written terms apply, a partner earns 10% of the PromiseDesk success fees actually collected from a referred merchant. This equals 5% of recovered postage at our standard 50% fee. Initial 90-day recoveries and future monitored recoveries share a $250 lifetime commission cap per merchant while the program and your participation remain active, subject to the program-change and termination provisions below. Payouts do not reset that cap. There is no overall earnings cap or limit on the number of merchants referred. Partners do not need their own shipping business to earn referral commissions.

Referral attribution

A valid partner link sets a referral cookie lasting 30 days in the visitor’s browser. The merchant must create a new account in that browser while the cookie is still present. The most recent valid partner link clicked before signup receives credit. Attribution is fixed when the merchant account is created; later links cannot replace it. The merchant does not need to finish onboarding or generate a recovery within those 30 days. Cookie expiry does not end commissions for an attributed merchant.

Monthly payouts

We process payouts monthly when the combined payable balance across referrals reaches $20. Each monthly payout includes fees collected before the start of that calendar month (UTC), plus unpaid carryover. Smaller balances carry forward. Refunded, reversed, or disputed fees reduce commission; adjustments after a completed payout are deducted from future payable commissions. Payment disputes remain excluded unless resolved in PromiseDesk’s favor. Existing separately agreed partner terms remain in effect.

Separate introductory offer for partners already using GlobalPost

An approved partner who also ships for a business they own keeps 100% of the first $100 we successfully recover from that business’s eligible GlobalPost shipments sent in the 90 days before their partner application. This one-time benefit applies to one merchant account and new recoveries after approval, not fees already invoiced or paid. The maximum waived fee is $50; our normal 50% fee applies after the benefit is used.

This offer covers qualifying historical shipments only; it is not a guaranteed $100 payment. Shipments sent on or after the partner application date use our standard 50% fee. Partners without eligible historical GlobalPost shipments can still participate fully in the referral program.

Participation and conduct

Participation is subject to PromiseDesk approval. Denied claims, self-referrals, duplicate accounts, fraud, misleading promotion, unauthorized use, and fees that are uncollected, refunded, reversed, or subject to an unresolved payment dispute do not earn commission. Partners must follow these Terms and any separate written campaign agreement they accept, including its agreed deliverables and deadlines, and clearly disclose their referral compensation when promoting PromiseDesk.

Program changes and participation decisions

To the extent permitted by applicable law, PromiseDesk may modify, suspend, or discontinue the Partner Program, or decline, suspend, or end an individual partner’s participation, in its discretion for any lawful business reason. We will give affected partners at least 30 days’ advance notice by email of material changes that reduce future commission rates, caps, or eligibility, or of ending the program or participation for ordinary business reasons. We may act immediately when reasonably necessary to address fraud, abuse, misleading promotion, brand misuse, security risks, legal requirements, or a material breach of these Terms or an accepted written campaign agreement. We will notify affected partners of such action as soon as reasonably practicable.

Changes to future earnings may apply to merchants already referred after the stated notice period. Separate written partner terms remain controlling where they conflict with these default program terms.

Earnings when participation changes or ends

Changes apply prospectively from their stated effective date and do not erase valid commissions already earned. Unless separate written terms provide otherwise, commission accrual ends when a partner’s participation or the Partner Program ends, including for merchants previously referred. A commission is earned when PromiseDesk actually collects the qualifying success fee, subject to the refund, reversal, and dispute adjustments described above. An expected carrier recovery or an uncollected fee is not an earned commission.

Valid, undisputed commissions earned before the effective end date remain payable. We will pay the final undisputed balance within 60 days after that date, even if it is below $20, provided the partner has supplied the payment and tax information reasonably required to make payment. Amounts reasonably under investigation may be held while we resolve the issue. Commissions attributable to fraud or other ineligible activity may be denied or reversed; unrelated valid earnings are not automatically forfeited. Separately agreed written partner terms remain controlling where they conflict with these default program terms.

19. Changes to the service or Terms

We may update the service as carrier requirements, law, security needs, or business operations change. We will provide reasonable notice of material changes to these Terms. If a change materially expands our claim-filing authority, fees, data use, or dispute terms, we may require renewed acceptance before continued use. The effective date above identifies the current version.

20. General terms

You may not assign these Terms without our prior written consent. PromiseDesk may assign them in connection with a merger, acquisition, reorganization, or sale of assets. If any provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. These Terms, the Privacy Notice, and any service-specific authorization presented during activation form the entire agreement about the service and replace prior discussions about that subject.
